At LCMG&B we have extensive experience in these fields, advising creditors —financial or commercial— as well as debtors. We participate in and structure financings, both domestic and international, direct and syndicated loans, project finance transactions, restructurings, corporate bonds (obligaciones negociables), financial trusts, initial public offerings, other capital markets transactions, escrows, and the structuring of complex transactions. We put in place personal and in-rem guarantees.
We have been directly involved in restructurings under Article 35 bis of the Financial Institutions Law (Ley de Entidades Financieras).
Another matter of vital importance relates to foreign exchange control regulations. Foreign trade transactions, capital contributions, repatriation of investments, dividend distributions, collection of service export proceeds and foreign indebtedness are just some of the matters requiring in-depth knowledge and handling of Argentina’s extensive and ever-changing foreign exchange control regulations. We are experts in this field.
We advise and represent our clients in financial and foreign exchange control proceedings brought by the Argentiune Central Bank, as well as in proceedings and investigations carried out by the National Securities Commission (Comisión Nacional de Valores) within its area of competence.
